BINDING AGREEMENT: In order to participate in the WTA Tennis on the Thames Trivia Promotion (the “Promotion”), you (“participant” or “you”) must agree to these Rules. Therefore, please read these Rules prior to participating to ensure you understand and agree. You agree that participating in the Promotion constitutes your agreement to these Rules. You may not participate in the Promotion and are not eligible to receive any prize described in these Rules unless you agree to these Rules. These Rules form a binding legal agreement between you and Sponsor (defined below) with respect to the Promotion. This Promotion is in no way sponsored, endorsed or administered by, or associated with Facebook or Twitter.
PROMOTION ELIGIBILITY: To be eligible to participate in the Promotion, you must be above the age of majority in the country, state, province or jurisdiction of your lawful residence (and at least eighteen years old in the United Kingdom) at the time of participation. The Promotion is void where prohibited by law. Employees, interns, contractors, and official office-holders of Sponsor, its subsidiaries, affiliates, Perform Group Limited, Tennis Warehouse and each of their respective directors, officers, employees, advertising and promotion agencies, representatives, and agents (“Promotion Entities”), and members of the Promotion Entities and their immediate families (parents, siblings, children, spouses, and life partners of each, regardless of where they live) and members of the households (whether related or not) of such employees, officers and directors are ineligible to participate in this Promotion. Sponsor reserves the right to verify eligibility and to adjudicate on any dispute at any time.
SPONSOR: The Promotion is sponsored by WTA Tour, Inc. (“Sponsor”), with a principal place of business at 100 Second Avenue S., Suite 1100-S, St. Petersburg, FL 33701, USA.
PROMOTION LOCATION & PERIOD: The Promotion will take place on Thursday, June 28, 2018 at the Sponsor’s ‘Tennis on the Thames’ Fan Village in the Bernie Spain Gardens in London, United Kingdom at such specific time(s) determined by the Sponsor, provided it will begin no earlier than 9:00:00 A.M. local time in London and end no later than 8:30:00 P.M. local time in London (“Promotion Period”).
HOW TO ENTER INTO THE PROMOTION: During the Promotion Period, you must be physically present at the ‘Tennis on the Thames’ Fan Village in the Bernie Spain Gardens to enter into and participate in the Promotion. At different times throughout the Promotion Period, Sponsor will announce that a portion of the Promotion will take place starting at a specific time (the time chosen and applied is at Sponsor’s discretion). You will need to be physically present at the mini tennis court or such other location specified by Sponsor within the Fan Village at such specific time in order to participate. When prompted by the Sponsor, you will have to raise your hand to indicate your willingness to participate in the Promotion. During each portion of the Promotion, Sponsor will choose at random from the crowd five (5) individuals who have raised their hands to participate in the Promotion. Each chosen participant will be asked to stand in front of the crowd and will be given a tennis trivia question to answer. Each participant will have to answer the trivia question given to them without assistance, and may at no time receive assistance from any smart device or other individual. If the participant answers her or his trivia question correctly, she or he will receive a prize. If the participant answers her or his trivia question incorrectly, she or he will not receive a prize and will rejoin the crowd. In each instance that a participant answers a trivia question incorrectly, Sponsor may in its sole discretion choose another volunteer to participate in the Promotion and answer a trivia question. An individual may only participate in the Promotion once, regardless of whether they answer the trivia question correctly.
Sponsor shall determine in its sole discretion the selection of participants from the crowd, judgment of trivia answers, and all other elements of the Promotion.
PRIZES: Ten (10) winners will receive one (1) EUR€25 Tennis Warehouse gift card. Ten (10) winners will receive one (1) WTA TV Yearly Pass. Approximate Retail Value (“ARV”) of each WTA TV Yearly Pass is USD$75. The total Approximate Retail Value of all of the prizes is $1,050.
PRIZE CONDITIONS: The prizes will be awarded to each winner immediately subject to winner verification. No transfer, substitution or cash equivalent for prizes is allowed, except at Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize, in whole or in part, of equal or greater monetary value if a prize cannot be awarded, in whole or in part, as described for any reason. Value is subject to market conditions, which can fluctuate and any difference between actual market value and ARV will not be awarded. Promotion Entities have not made and Promotion Entities are not responsible in any manner for any warranties, representations, or guarantees, express or implied, in fact or law, relating to the prize, regarding the use, value or enjoyment of the prize, including, without limitation, its quality, mechanical condition, merchantability, or fitness for a particular purpose, with the exception of any standard manufacturer's warranty that may apply to the prize or any components thereto.
TAXES: RECEIPT OF PRIZES TO POTENTIAL WINNERS ARE SUBJECT TO THE EXPRESS REQUIREMENT THAT THEY SUBMIT TO SPONSOR ALL DOCUMENTATION REQUESTED BY SPONSOR TO PERMIT IT TO COMPLY WITH ALL APPLICABLE FEDERAL, STATE, PROVINCIAL, LOCAL AND FOREIGN TAX REPORTING AND WITHHOLDING REQUIREMENTS. ALL PRIZES WILL BE NET OF ANY TAXES SPONSOR IS REQUIRED BY LAW TO WITHHOLD. ALL TAXES IMPOSED ON PRIZES ARE THE SOLE RESPONSIBILITY OF THE WINNERS. In order to receive a prize, potential winners may be required to submit the tax documentation requested by Sponsor or otherwise required by applicable law, to Sponsor or the relevant tax authority, all as determined by applicable law, including, where relevant, the law of the potential winner’s country of residence. The potential winners are responsible for ensuring that (s)he complies with all the applicable tax laws and filing requirements. If a potential winner fails to provide such documentation or comply with such laws, the prize may be forfeited and Sponsor may, in its sole discretion, select an alternative potential winner.
GENERAL CONDITIONS: All federal, state, provincial and local laws and regulations apply. Sponsor reserves the right to disqualify any participant from the Promotion if, in Sponsor’s sole discretion, it reasonably believes that the participant has attempted to undermine the legitimate operation of the Promotion by cheating, deception, or other unfair playing practices or annoys, abuses, threatens or harasses any other participants, viewers, or Sponsor.
LICENSE/USE OF ENTRIES: By entering the Promotion, and to the extent allowed by law, you grant the Promotion Entities a perpetual, worldwide, royalty-free, non-exclusive, sub licensable, unconditional and transferable license to edit, modify, cut, rearrange, add to, delete from, reproduce, encode, store, modify, copy, transmit, publish, post, broadcast, display, adapt, exhibit, exploit and/or otherwise use or reuse your entry, name, likeness, voice, photo, answer(s), comment(s), and biographical material including, but not limited to, all answers, comments and information submitted in connection with the Promotion in any and all media, throughout the world, and in any manner, for trade, advertising, promotional, commercial, or any other purposes without further review, notice, approval, consideration, or compensation to participant or any third party.
PRIVACY: Participant acknowledges and agrees that Sponsor may collect, store, share and otherwise use any personally identifiable information provided to Sponsor throughout the Promotion, including, but not limited to, name, mailing address, age, date of birth, and email address. Sponsor will use this information in accordance with its Privacy Policy (http://www.wtatennis.com/privacy-policy), including for administering the Promotion. Participant’s information may also be transferred to countries outside the country of participant's residence, including the United States. Such other countries may not have privacy laws and regulations similar to those of the country of participant's residence. Participant has the right to request access, review, rectification or deletion of any personal data held by Sponsor in connection with the Promotion by writing to Sponsor at legal@wtatennis.com.
PUBLICITY. By accepting a prize, participant agrees to use of his or her name and/or likeness by Sponsor and its agencies for advertising and promotional purposes without additional compensation, unless prohibited by law.
WARRANTY AND INDEMNITY: To the maximum extent permitted by law, each participant indemnifies and agrees to keep indemnified Promotion Entities at all times from and against any liability, claims, demands, losses, damages, costs and expenses resulting from any act, default or omission of the participant and/or a breach of any warranty set forth herein. To the maximum extent permitted by law, each participant agrees to defend, indemnify and hold harmless the Promotion Entities from and against any and all claims, actions, suits or proceedings, as well as any and all losses, liabilities, damages, costs and expenses (including reasonable attorney’s fees) arising out of or accruing from (a) any entry or other material uploaded or otherwise provided by the participant that infringes any copyright, trademark, trade secret, trade dress, patent or other intellectual property right of any person or defames any person or violates their rights of publicity or privacy, (b) any misrepresentation made by the participant in connection with the Promotion; (c) any non-compliance by the participant with these Rules; (d) claims brought by persons or entities other than the parties to these Rules arising from or related to the participant’s involvement with the Promotion; (e) acceptance, possession, misuse or use of any prize or participation in any Promotion-related activity or participation in this Promotion; (f) any error in the collection, processing, or retention of your information; or (g) any typographical or other error in the printing, offering or announcement of any prize or winners.
ELIMINATION: Any false information provided within the context of the Promotion by any participant concerning identity, mailing address, telephone number, email address, ownership of right or non-compliance with these Rules or the like may result in the immediate elimination of the participant from the Promotion.
RIGHT TO CANCEL, MODIFY OR DISQUALIFY. In no event will Sponsor be liable for more than the stated number of prizes listed in these Rules. If for any reason the Promotion is not capable of running as planned, including due to any cause which corrupts or affects the administration, security, fairness, integrity, or proper conduct of the Promotion, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Promotion. Any attempt by an participant to undermine the legitimate operation of the Promotion is a violation of criminal and civil laws and should such an attempt be made, Sponsor reserves the right to seek any and all remedies available from any such participant to the fullest extent of the applicable law.
NOT AN OFFER OR CONTRACT OF EMPLOYMENT: Under no circumstances shall your participation in the Promotion, the awarding of a prize, or anything in these Rules be construed as an offer or contract of employment with either Sponsor, or the Promotion Entities. You acknowledge that you have participated voluntarily and not in confidence or in trust. You acknowledge that no confidential, fiduciary, agency or other relationship or implied-in-fact contract now exists between you and Sponsor or the Promotion Entities and that no such relationship is established by your participation under these Rules.
FORUM AND RECOURSE TO JUDICIAL PROCEDURES: These Rules shall be governed by, subject to, and construed in accordance with the laws of the State of Florida, United States of America, excluding all conflict of law rules. If any provision(s) of these Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect. To the extent permitted by law, the rights to litigate, seek injunctive relief or make any other recourse to judicial or any other procedure in case of disputes or claims resulting from or in connection with this Promotion are hereby excluded, and all participants expressly waive any and all such rights.
ARBITRATION: By entering the Promotion, you agree that exclusive jurisdiction for any dispute, claim, or demand related in any way to the Promotion will be decided by binding arbitration. All disputes between you and Sponsor of whatsoever kind or nature arising out of these Rules, shall be submitted to Judicial Arbitration and Mediation Services, Inc. (“JAMS”) for binding arbitration under its rules then in effect in the New York, New York, USA area, before one arbitrator to be mutually agreed upon by both parties. The parties agree to share equally in the arbitration costs incurred.
